CONSTITUTION AND BY-LAWS

ARTICLE I – NAME & MOTTO
The name of this Corporation shall be known, called, addressed, and referred to as the Arondizuogu
Progressive Front, Inc., USA, herein referred to as the “APF” or the “Association.”
The Motto of the Association shall be “One Arondizuogu, One Voice”.

ARTICLE II – INCORPORATION OF THE ASSOCIATION
Arondizuogu Progressive Front is incorporated under the laws of the State of Arizona in the United
States of America.

ARTICLE III – OBJECTIVES
To embark on lawful projects and initiatives to develop Arondizuogu communities and other
interests in Nigeria while engaging in the cultural and socio-economic enhancement of like minds
within the greater global community.
To engage in activities, as appropriate and lawful, to promote and protect the well-being and
cultural heritage of the people of Arondizuogu descent, and to ensure justice and protection for
them under the law.
To collaborate, partner, and network with lawful Arondizuogu Development Organizations at
will, and around the globe, and with the leaderships of various autonomous communities to
coordinate improvements to ensure that these communities have adequate and efficient
infrastructures for quality healthcare and living conditions, safety, and meaningful
employment; and to facilitate educational, social and economic empowerment and equity for
Arondizuogu communities within the Nigerian federation.
To provide the framework for connection, meeting, empowerment, networking opportunities,
and cultural awareness for the next generation of Arondizuogu people living in the United
States.
To engage in fundraising activities, as appropriate and permissible by applicable laws, to fund
APF projects and endeavors.
To access, create, and maintain links, between Arondizuogu people in the Diaspora and
Nigeria.
To impart life-long Igbo values, culture, language, and heritage, as well as good citizenship, to
the next generation of Arondizuogu people in the Diaspora.
To work toward providing Africa-styled Assisted Living / Nursing homes in the Diaspora.

ARTICLE IV – MEMBERSHIP
1. Membership in this Association is open to All Arondizuogu sons and daughters, spouses, and
all individuals of Arondizuogu descent residing in Nigeria and in the Diaspora.
2. This person must be at least 18 years of age; must meet the membership requirements as set out
in the bylaw from time to time; and abide by the rules and regulations, as well as the vision,
and mission of the association.
3. Another branch of this organization shall only be authorized by the president and the
executives.
ARTICLE V – REGISTRATION & DUES
1. Registration: A one-time non-refundable registration fee shall be required of any incoming
member.
2. Platinum Partners shall pay a minimum of $5,000 or its Naira equivalent.
3. Gold Partners shall pay between $3,000.00 and $4,999.00, or its Naira equivalent.
4. Silver Partners shall pay between $2,000.00 and $2,999.00, or its Naira equivalent.
5. Bronze Partners shall pay between $1,000.00 and $1,999.00, or its Naira equivalent.
6. Key Partners shall pay between $500.00 and $999.00, or its Naira equivalent.
7. Eagle Partners shall pay between $100.00 and $499.00 or its Naira Equivalent.
8. Categories: Based on stipulated categories including Platinum, Gold, Silver, Bronze, Key, and
Eagle, incoming members shall decide the level of registration.
9. Dues: An Annual Due of $100.00 for all members, except youths 25 years and under.
10. Non-refundable one-time $50.00 registration for all adults, and $20.00 for youths 25 years and
under.
11. Annual dues are due every January 30 of each year. Annual dues are waived for new members
who are less than 90 days before the next annual due date. They shall pay their first annual due
the following year.
12. A member shall be considered out of status if dues are not paid as of when due.

ARTICLE VI – MANAGEMENT, ACTIVE AND NON-ACTIVE STATUS
Section 1: The organization and management of the affairs and activities of APF shall be vested in the
Executive Committee of the APF (hereinafter referred to as the Committee). The Committee shall
comprise nine (9) elected members. All nine (9) members of the Executive Committee will have equal
voting rights.
Section 2: The APF, acting through the Executive Committee and its members, subject to the rules
and regulations of its Constitution, is authorized to enter into, make, perform, and execute contracts of
any kind (as appropriate and permissible by applicable laws) with any person, firm, corporation,
agency, association, or government in the United States, Nigeria or any country of interest; and to
perform any and all acts necessary for carrying out the objectives of the Association not forbidden by
its Constitution.
Section 3: The Arondizuogu Progressive Front Incorporated shall be a non-profit organization.
Section 4: The officers of the APF shall include the President, Vice President, Secretary-General,
Assistant Secretary-General, Financial Secretary, Treasurer, Welfare Officer, Social Director, and
Provost.
Section 5: APF defines active membership as a member who is financially up-to-date and participates
in meetings and other activities.
Section 6: (i) Pledges are considered a financial obligation to this organization. (ii) All pledges must
be redeemed within sixty (60) days from the date of commitment. (iii) All unpaid pledges shall
automatically put a member out of status.
Section 7: All fines by the president shall not exceed fifty ($50.00) per occurrence.
Section 8: (i) A member who is out of status for a period of six (6) months shall be notified in writing
via e-mail or WhatsApp, to cure the prolonged delinquency. (ii) The notice shall also suggest payment
arrangements to assist the said member (iii) If after sixty (60) days of receiving the notice, the member
has not paid the debt, an additional thirty (30) days grace shall automatically kick in. (iv) After the
expiry of the thirty (30) days grace period, the delinquent member shall be expelled and removed from
the WhatsApp group as well as the general membership list and/or register.
Section 9: Members whose memberships are terminated by expulsion or resignation will only be
eligible to reapply after 180 days.
Section 10: A member shall be expelled from this organization under any of the following conditions:
(a) Member is in default of Section 9 (iv) of this Article.
(b) Member is found guilty of committing fraud against this organization.
(c) Member commits a public act that brings disrepute to the organization. This includes social
media (WhatsApp), face-to-face meetings, or any APF-organized event.
(d) Member is found guilty of using invective language against the personality or reputation of
another member when online or face-to-face meetings are in session. This includes social
media (WhatsApp) and APF-organized events.
(e) To always maintain order on the WhatsApp forum, the president is authorized to suspend, as
well as remove any disorderly member for a maximum period of two weeks.
(f) With respect to (e) above the president shall reinstate the suspended member at the expiry of
the two weeks.

ARTICLE VII – DUTIES OF OFFICERS
Section 1: The President
(a) The President shall be the chief executive officer, principal representative, and facilitator of the
Executive Committee of this organization.
(b) He/she shall draw an agenda, convene, and preside over all general and emergency meetings.
(c) The president shall be responsible for the orderly conduct of all meetings.
(d) The president shall have the authority to warn, reprimand, suspend/remove; impose fine
or expel any member in violation of any of the rules of the forum or face-to-face meetings.
(e) The President shall be the chief moderator of the forum or e-group.
(f) The president shall review member conduct with executives for reinstatement.
(g) He/she shall oversee the management and execution of APF Affairs, Programs, and Initiatives
pursuant to APF’s mission, vision, and objectives.
(h) The president shall execute all decisions approved by the organization.
(i) The President shall be the custodian of the certificate of incorporation of the organization.
(j) The president shall present to the general assembly a comprehensive annual report at every
November general meeting.
(k) The president shall be responsible to fill the vacant position by special election or appointment
within 90 days.
(l) The president shall appoint members of the standing committee. Once the committee has been
approved by the general assembly, the officer cannot be removed by the president, except with
the approval of a two-thirds majority of the general assembly.
(m)The president shall cast the tie-breaker vote in both executive and general assembly.
(n) The president shall have the prerogative to appoint up to three patrons during his / her tenure.
The subsequent president has the option to retain existing patrons or appoint new ones.
(o) The president shall have the authority to spend up to $300.00 to discharge official
emergencies/responsibilities between meetings without prior authorization.
(p) The president shall be one of the signatories to the APF bank account.
Section 2: The Vice President
(a) The Vice President shall assume the duties of the president in his/her absence.
(b) The Vice president shall act as President, until the next general election, if the President is unable
to assume his/her duties.
(c) He/she shall execute such other duties as may be delegated to him/her by the president.
(d) Shall be a signatory to the bank account.
Section 3: The Secretary-General
(a) Shall document the meeting minutes and maintain custody of all documentation.
(b) Crucial decisions made in a general meeting upon adoption shall become a part of the byelaw
(c) Shall be responsible for all correspondences.
(d) Shall oversee the organization’s secretariat.
(e) Shall assist the president in moderating the forum and e-group.
(f) The records and seal of the organization shall be in his/her custody.
(g) Shall maintain the organization’s directory in order of admission.
Section 4: The Assistant General-Secretary
(a) The Assistant General Secretary shall assume the duties of the General Secretary in his/her
absence.
(b) Shall perform other functions as may be directed by the Secretary-General, or the president.
Section 5: The Financial Secretary
(a) The Financial Secretary shall keep a record of the transactions of the organization.
(b) He/she shall collect all monies due the association, including membership fees, keep a proper
account of all financial transactions, and render an annual financial statement to the Organization.
(c) The Financial Secretary shall follow the budget approved by the APF Executive Committee,
without deviation.
(d) He/she shall be a signatory to the bank account.
Section 6: The Treasurer
(a) The Treasurer shall deposit into APF bank account, all monies of the Organization handed to
him/her by the Financial Secretary within 72 hours of receipt.
(b) He/she shall disburse by check monies approved and directed by the Executive Committee.
(c) He/she shall have custody of the checkbook.
(d) He/she shall regularly reconcile APF financial records with the Financial Secretary.
Section 7: Welfare Officer
(a) Shall be responsible for the general welfare of members.
(b) Shall participate in all matters and tasks that enhance the welfare of targeted communities.
(c) Shall assist the social director will all social functions.
Section 8: The Provost
(a) The provost is responsible for maintaining order and decorum during the APF meetings.
(b) Shall assist the president and Secretary-General in moderating the forum and e-group.
Section 9: Social Director
(a) Shall be responsible for coordinating all social activities of the organization.
(b) Shall assist the president in projecting the image of the organization.
(c) Shall head every committee appointed for any social event unless otherwise redirected by the
president.

ARTICLE VIII – ELECTION OF OFFICERS
Section 1:
(a) All officers shall be elected for a period of four years, by secret ballot, in a general election of
the Association.
(b) In circumstances where face-to-face meetings are banned or not achievable, elections can be
conducted in E-groups, WhatsApp, or any other available media as agreed by the membership.
(c) Each member of the Executive Committee shall serve a term of four years.
(d) Any elected official shall not serve more than two successive terms.
(e) If the Vice President is acting as the President and has assumed the duties of the President prior
to the general election (pursuant to Article VII, Section 2), he/she will be ineligible for two
successive terms if such will place him/her in office beyond the eight consecutive years limit.
(f) (f) The Executive Committee or the general assembly shall create a two-member ad hoc
Electoral Board to conduct every election.
(g) A member must be in good standing to be eligible to participate in the electoral process (either
to vote or to be voted for).
(h) Elections shall be conducted in the last meeting of every election year.
(i) The president shall announce the coming of the elections a minimum of thirty days before the
election.
(j) In extreme circumstances where sub-section (i) above is not attainable, the general assembly
shall vote to waive sub-section (i) with a simple acclamation or majority.
(k) Campaigns are not allowed outside the meeting and can only occur within the thirty days as
noted in subsection (i) above.
(l) In every election, a simple majority of the number of votes cast confers winning status to the
favored member.
(m)In the event of a tie, the President shall cast the tie-breaking vote.

ARTICLE IX – MEETINGS AND ORDER OF BUSINESS
Section 1: Meetings –
(a) The APF Executive Committee shall hold meetings or conferences at least once every three (3)
months and/or as dictated by need; and at such times and places/platforms/media as the Committee
members may determine.
(b) Meeting quorum shall be established fifteen (15) minutes after the scheduled time, with the
presence of the President or the Vice President, plus at least two (2) members of the executive, and at
least three (3) other members.
(d) The meetings of the APF Executive Committee shall be open to APF general membership.
(e) The Committee shall have a convention (at places/platforms/media as determined by need) with the
general membership to appraise the state of the organization, adopt the constitution or bylaws, and
pursue efforts to advance the APF mission, vision, and objectives.
Section 2: General Membership Meeting
(a) Routine General Membership meeting shall be held once a year. The Secretary-General shall
cause a notice of the meeting to be known to all members. Notice shall include the date and
agenda and shall be dispatched by WhatsApp or email.
(b) The meeting quorum shall comprise a minimum of ten (10) members including the president or
the vice president, with three (3) executive members. This is applicable to special or emergency
membership meetings.
(c) At each meeting of the general membership, every member present shall be entitled to one vote
and any action put to vote must pass by the vote of a majority of members present at the
meeting.
Section 3: Special / Emergency Meeting
(a) The president, depending on need, may request the Secretary-General to call a special meeting
of the general membership.
(b) The special meeting shall not transact any other business not related to the emergency agenda.
(c) The organization may not have more than four (4) emergency meetings in a calendar year.

ARTICLE X – FUNDS
The funds of the APF shall be derived primarily from membership and annual dues, donations, and
fundraising, as well as from gifts, endowments, bequests to the Association, and other such sources as
may be agreed upon by the committee and in accordance with the laws governing nonprofit
organizations.
ARTICLE XI – COMMITTEES
Section 1: Ad hoc Committees
(a) The President may appoint ad hoc committees as it deems necessary, for the proper functioning of
the association and carrying out the mission of the Association.
(b) An ad hoc Electoral Board shall be established by the general membership to conduct every
election.
Section 2: Standing Committees – The President shall appoint a five-member committee at the
beginning of tenure, or as he/she deems appropriate to serve in the following Standing Committees.
1. Constitution and By-Laws – The Constitution and By-Laws Committee is charged with the
duties and mandates relating to the Constitution and By-Laws of the organization. It shall
consist of three members including the chairperson.
2. Projects and Development – Projects and Development Committee is charged with the activities
relating to the Projects and Developmental endeavors of the organization. It shall consist of
three members including the chairperson.
3. Programs and Outreach – Programs and Outreach Committee is charged with the activities
relating to various Programs and Outreach endeavors of the organization. It shall consist of
three members including the chairperson.
4. Finance Committee – The Finance Committee shall supervise the finances of the organization.
The Financial Secretary and Treasurer shall be members of this Committee. It shall consist of
three members including the chairperson.
5. Long Range Planning – Long Range Planning Committee shall study the affairs of the
organization in all their ramifications and its various activities, and shall make
recommendations on any matters that, in their judgment, will advance the Mission and Vision,
and improve the organization’s standing and operational efficiency. It shall consist of three
members including the chairperson.
6. Liaison Committee – Liaison Committee shall be charged with the responsibility of
coordinating with lawful Arondizuogu Development Organizations, as well as other charitable
organizations and institutions, around the globe for the development of Arondizuogu
communities in Nigeria, and for the improvement of the living conditions pursuant to Article
III Section 3 of this Constitution. At least 1 (one) member of the Projects and Development
Committee shall be a member of the Executive Committee. In the case of a temporary absence
of any member of this committee, another active member of the Association shall be appointed
by the President to serve in the interim.
7. Fundraiser Committee – The Fundraiser committee shall be charged with the responsibility of
raising funds for the organization with the approval of the president. They shall coordinate and
tender all receipts and transaction proofs to the president and financial secretary within ten
working days of any transaction. The committee shall consist of three members including a
chairperson.
8. Arondizuogu Youth Recruiting Committee – This committee is charged with the responsibility
of recruiting the youths. The committee shall consist of seven (7) members including the
chairperson.
9. Structure Design & Build Committee – This committee shall oversee the management of design
and construction of all Capital Improvement projects of the organization. It shall consist of five
(5) members including the chairperson.
10. Public Relations & Recruiting Committee – This committee shall coordinate all public events as
well as the recruitment of new members. It shall constitute seven (7) members including the
chairperson.
11. Women Culture & Youth Organizing Committee – This committee shall coordinate all cultural
events involving women and youths. It shall consist of seven (7) members including the
chairperson.
12. Calendar & Printing Committee – This committee shall coordinate all calendar projects from
data gathering, and production through distribution. It shall consist of seven (7) members
including the chairperson.
13. Men Cultural Coordinating Committee: This committee shall coordinate all cultural events
involving the men’s group. It shall comprise eleven (11) members including the chairperson.

ARTICLE XII – REMUNERATION
The APF Executive Committee members shall render their services to the APF on a voluntary basis
and shall not be entitled to any stipend except for well-documented expenditures on behalf of the
Association.

ARTICLE XIII – INDEMNITY
The APF shall indemnify all officers or ordinary members serving on behalf of the Association for all
expenses, judgments, fines, and amounts paid in settlement actually and necessarily incurred in
connection with litigation arising out of their service to the Association except in cases of willful
misconduct or negligence.
ARTICLE XIV – RESIGNATION
By tendering their letters of resignation to the Executive Committee, Committee members can
discontinue rendering their services to the APF before the next election. The President, with the
approval of the Committee, shall appoint an interim officer pending a general election.

ARTICLE XV – ADOPTION / AMENDMENTS TO THE CONSTITUTION / BY-LAWS
Section 1a: Amendments to the Existing Constitution
(a) Proposed amendments to the existing Constitution may be initiated by a proposal signed by at least
6 (six) active members of the APF and delivered to the APF Executive Committee.

(b) Proposals may be initiated by the APF Executive Committee or by the Constitution and By-Law
Committee.
(c) The proposed amendments shall be considered by the Constitution and By-Laws Committee, which
shall then make recommendations on the proposal(s) to the APF Executive Committee.
(d) A two-thirds (2/3) vote by APF Committee is required to approve a draft constitution or
amendments to the Constitution, which shall then be sent to the General APF membership for adoption
and ratification.
Section 1b: Adoption of the Draft Constitution
(a) A notice of the time and place/platform at which the approval of a draft constitution shall be
considered by APF general membership.
(b) A two-thirds vote of active APF members present shall be required for the adoption/ ratification of
the constitution.

ARTICLE XVI – DISSOLUTION
Section 1:
(a) The process of dissolution of APF Inc. will commence when most of its active member families
can no longer agree on the principles that brought them together at the beginning.
(b) Such a move shall be initiated by at least 80% of active members.
(c) Such a proposal shall be stated in writing, duly signed, and forwarded to the APF Executive
Committee.
(d) Upon review, the Committee shall vote to accept or reject the proposal by an 80% majority.
(e) If accepted, the Committee shall then present the resolution with the names of the sponsoring
members, to the general APF membership for debate.
(f) General membership has ninety (90) days, after the introduction of the resolution to vote on the
dissolution of the Association.
(g) It will take 80% of active members of APF to dissolve the Association.
Section 2:
(a) Upon dissolution, all assets of the APF will be liquidated and all outstanding liabilities settled.
(b) The remaining equity (net worth) shall be donated to one or more exempt organizations within the
meaning of Section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future
federal tax code, or shall be distributed to the federal government, or state or local government, for
public purposes. Any such assets not so disposed of shall be disposed of by a court of competent
jurisdiction of the county in which the principal office of the organization is then located, exclusively
for such purposes or such organization or organizations, as said Court shall determine, which are
organized and operated exclusively for such purposes.

ARTICLE XVII – Constitution / By-laws Adoption
These By-Laws are subject to future amendments as stipulated on
its provisions are hereby debated, approved, and adopted by a
majority vote of the General Assembly on this 16 day of June,
2023
